Purchase order terms & conditions
These Purchase Order Terms & Conditions apply to all purchase orders issued by American Additive Manufacturing LLC. Supplier acceptance of a purchase order constitutes acceptance of these terms in full.
1. Acceptance
The Purchase Order ("PO") issued by American Additive Manufacturing LLC ("Buyer") and these Terms together form the entire agreement between Buyer and Supplier. Acknowledgement by Supplier or commencement of performance constitutes acceptance.
2. Quality requirements
Supplier shall comply with all quality requirements specified in the PO, including AS9100D, ISO 9001, ITAR, and any applicable customer flow-down requirements.
Each shipment shall be accompanied by a Certificate of Conformance and any other documentation specified on the PO.
3. Packaging and shipping
All goods shall be packaged to prevent damage during shipment. Shipping documentation shall reference the Buyer's PO number, part number, lot number, and quantity.
Title and risk of loss pass to Buyer upon delivery FCA Supplier's facility unless otherwise specified.
4. Inspection and rejection
Buyer reserves the right to inspect goods upon receipt and to reject any goods that do not conform to PO requirements. Rejected goods will be returned at Supplier's expense.
Acceptance of payment does not constitute final acceptance of goods.
5. Counterfeit parts prevention
Supplier represents that all material supplied is authentic and traceable to original manufacturer sources. Suspect counterfeit parts will result in immediate notification to Buyer's quality department and to the GIDEP database where applicable.
6. Export control
Supplier shall comply with all applicable export control regulations, including ITAR and EAR. Technical data shall be handled in accordance with the access controls specified in the PO.
7. Indemnification
Supplier shall defend, indemnify, and hold Buyer harmless from any claims arising from Supplier's breach of warranty, infringement of intellectual property, or violation of law.
8. Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles.
